Terms of Service

Terms & Conditions - the basics

Effective date: 18 April 2026

 

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and **NuroNode Ltd, a company registered in Sofia, Bulgaria ("NuroNode", "we", "us", "our"), governing your use of the NuroNode website at **https://www.nuronode.com** and our software products, including "Guardian", "TeamMate", "Fuel", and "OwnyFin" (individually a "Product", collectively the "Products").

 

By creating an account, purchasing a subscription, downloading a Product, or otherwise using our services, you agree to these Terms. If you do not agree, do not use the Products.

 

1. Definitions

 

- Account — the record we maintain for you on nuronode.com, identified by your email address.

- Subscription — a paid plan granting you a licence to use one or more Products for a defined billing period.

- Tier — a subscription level (e.g. Basic, Advanced, Pro) that determines which features are unlocked.

- Licence Key — the credential we issue to your Account that activates the Tier you purchased on your device.

 

2. Eligibility

 

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to enter into these Terms. If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation; in that case "you" also refers to the organisation.

 

3. Your Account

 

You are responsible for your Account credentials and for all activity under your Account. You agree to provide accurate information, keep it up to date, and notify us immediately at info@nuronode.com if you believe your Account has been compromised.

 

4. Subscription tiers and billing

 

4.1 Tiers

 

Each Product is offered under one or more subscription tiers. The features included in each tier, and the corresponding price, are described on nuronode.com and in the Product's own settings. We may add, rename, split, or merge tiers. If a change materially reduces what you are already paying for, we will notify you before the change takes effect and allow you to cancel for a pro-rated refund (see Section 9).

 

4.2 Billing

 

Subscriptions are billed in advance on a recurring basis (typically monthly or annually, as shown at checkout) and **automatically renew** at the end of each billing period at the then-current price, unless you cancel before the renewal date.

 

4.3 Taxes

 

Prices on nuronode.com are stated exclusive of taxes unless marked otherwise. VAT and other applicable taxes are added at checkout based on your billing location.

 

4.4 Payment processing

 

Payments are processed by our payment partner, **Wix Payments**. By providing payment information, you authorise Wix Payments and us to charge your chosen payment method for each billing period, plus any applicable taxes.

 

4.5 Failed payments

 

If a payment fails, we may retry it, downgrade your Account to a free/lower tier, or suspend access until payment succeeds. You remain responsible for amounts owed.

 

4.6 Cancellation

 

You can cancel your subscription at any time from your Account on nuronode.com. Cancellation stops future renewals; access continues until the end of the paid period. Except as set out in Section 9, cancellation does not trigger a refund of the current period.

 

5. Licence

 

5.1 Grant

 

Subject to your compliance with these Terms and timely payment of applicable fees, NuroNode grants you a **personal, non-exclusive, non-transferable, non-sublicensable, revocable licence** to install and use the Products on devices you own or control, solely for your own internal purposes, for the duration of your active subscription.

 

5.2 Personal use, no resale

 

The Products are licensed for your personal or internal business use only. You may **not**:

 

- resell, rent, lease, sublicense, distribute, or otherwise commercially exploit the Products or Licence Keys;

- provide the Products as a managed service to third parties;

- share your Account, Licence Key, or subscription with anyone else;

- strip, bypass, or interfere with the licence-enforcement mechanisms.

 

Where a Product is used by a single person across multiple of their own devices, that is permitted. Organisational licences, team tiers, and reseller arrangements require a separate written agreement.

 

5.3 Intellectual property

 

All intellectual property rights in the Products, the website, and our documentation remain with NuroNode Ltd and its licensors. No rights are granted to you except those expressly set out in these Terms.

 

5.4 Open-source components

 

The Products incorporate open-source components, each governed by its own licence. Those licences continue to apply to their respective components and take precedence over these Terms to the extent required by the component's licence.

 

6. Acceptable use

 

You agree **not** to use the Products or nuronode.com to:

 

- break any applicable law;

- infringe intellectual property, privacy, or other rights of anyone else;

- generate, store, or distribute content that is unlawful, defamatory, harassing, abusive, or sexually exploitative of minors;

- attempt to gain unauthorised access to systems, data, or accounts you are not permitted to access;

- distribute malware, viruses, or destructive code through the Products;

- reverse-engineer, decompile, or disassemble the Products, except to the extent expressly permitted by applicable law;

- circumvent tier gating, rate limits, or any licence-enforcement mechanism;

- use the Products to operate a business that competes directly with NuroNode's published offering;

- use automated means to scrape, harvest, or place excessive load on nuronode.com.

 

We may suspend or terminate your Account for a material or repeated breach of this Section.

 

7. Your content

 

You retain all rights in the content you create with the Products ("Customer Content"). Because our Products are local-first (see our Privacy Policy), Customer Content is generally stored on your own device and is not transmitted to NuroNode. Where a feature explicitly transmits data to a third party (e.g. a cloud LLM you have configured yourself), that transmission is governed by the third party's terms and your own choice to enable it. You are responsible for your Customer Content and for ensuring you have the rights to create and use it.

 

8. Third-party services

 

The Products integrate with optional third-party services (e.g. Google Calendar, cloud LLM providers, payment processors). Your use of those services is subject to the third party's own terms and privacy policy. NuroNode is not responsible for third-party services, their availability, or their changes. If a third party withdraws or changes an integration API, the corresponding feature may be removed or changed without that constituting a breach of these Terms.

 

9. Refund policy

 

We offer a **30-day refund** on your first paid subscription to any Product, provided you request the refund within 30 days of the **initial** purchase by emailing **legal@nuronode.com** from the email address on your Account. This right applies once per customer per Product.

 

Renewals are not covered by the 30-day refund. If you do not wish to renew, cancel before the renewal date (see Section 4.6).

 

Where mandatory consumer-protection law (including the EU Consumer Rights Directive and Bulgarian Consumer Protection Act) grants you a stronger right of withdrawal, that law prevails to the extent of any conflict with this Section.

 

10. Beta and preview features

 

Features marked "beta", "preview", or similar are provided **as-is** for evaluation. They may change, break, or be withdrawn at any time, and service levels do not apply to them.

 

11. Availability

 

nuronode.com and the Account back-end are provided on a commercially reasonable-efforts basis. The Products themselves run locally on your device; their availability depends primarily on your own device. We may schedule maintenance windows and will try to give reasonable notice for significant downtime.

 

12. Suspension and termination

 

12.1 By you

 

You may terminate your Account at any time by cancelling your subscription and emailing legal@nuronode.com to request Account closure.

 

12.2 By us

 

We may suspend or terminate your Account and Licence Keys, with or without notice, if:

 

- you materially breach these Terms and fail to cure the breach within 14 days of written notice where the breach is capable of cure;

- your payment method repeatedly fails;

- we are required to do so by law or by a binding order of a competent authority;

- we reasonably believe continued service would expose us or others to legal, security, or safety risk.

 

#12.3 Effect of termination

 

On termination, your licence to the Products ends. Sections of these Terms that by their nature should survive (including Sections 5.2, 5.3, 13, 14, 15, 16, and 18) will survive.

 

13. Warranty disclaimer

 

To the maximum extent permitted by law, the Products and nuronode.com are provided **"as is" and "as available"**, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Products will be uninterrupted, error-free, or will meet your specific requirements. Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions the exclusion applies only to the extent permitted.

 

14. Limitation of liability

 

To the maximum extent permitted by applicable law:

 

- Neither party is liable to the other for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of goodwill, loss of data, or business interruption, arising out of or in connection with these Terms or the Products, even if advised of the possibility of such damages.

- NuroNode's total aggregate liability under or in connection with these Terms, whether in contract, tort, or otherwise, is limited to the **greater of (a) EUR 100 or (b) the fees you paid to NuroNode for the affected Product in the 12 months immediately before the event giving rise to liability**.

 

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any other liability that by Bulgarian law cannot be limited.

 

15. Indemnification

 

You agree to indemnify and hold NuroNode harmless from any third-party claims, damages, liabilities, costs, and reasonable legal fees arising out of (a) your use of the Products in breach of these Terms, (b) Customer Content you create or distribute using the Products, or (c) your violation of any law or third-party right.

 

16. Governing law and jurisdiction

 

These Terms are governed by the laws of the **Republic of Bulgaria**, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

 

Subject to any non-waivable right you have as a consumer to bring proceedings in your country of residence, the courts of **Sofia, Bulgaria** have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

 

17. Consumer rights

 

If you are a consumer in the EU, you are entitled to the protection of any mandatory provisions of the law of your country of residence. Nothing in these Terms affects those rights. EU consumers can also access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

 

18. General

 

- Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.

- Severability. If any provision is held unenforceable, the rest of these Terms continue in effect and the unenforceable provision is replaced with an enforceable provision that best reflects the original intent.

- No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.

- Entire agreement. These Terms, together with the Privacy Policy and any Product-specific terms we reference, form the entire agreement between you and NuroNode regarding the Products and supersede any prior agreement on the same subject.

- Changes. We may update these Terms from time to time. For material changes, we will notify subscribers by email at least 14 days before the change takes effect. Your continued use of the Products after the effective date constitutes acceptance.
